Understanding MCA Reconciliation Provisions
Some MCA agreements allow payments to be adjusted to reflect actual receivables. If your sales have dropped, it's worth knowing whether your agreement includes this.
What reconciliation is
Because many MCAs are structured as purchases of a percentage of future receivables, some agreements let the business request a 'reconciliation' — an adjustment so that the fixed remittance better matches the agreed percentage of actual sales. Some reconcile on request; others on a schedule; some don't provide for it.
What a request usually involves
- Locating the reconciliation clause and any deadlines or notice requirements
- Providing bank statements or sales records for the period
- Submitting the request in the manner the agreement specifies
- Keeping copies of the request and any response
